Governing Law

These Terms are governed by the laws of the State of Delaware, excluding any conflict of laws rules or principles. If there is any dispute relating to the Website or these Terms, you and NFAfinder agree to exclusive personal jurisdiction and venue in the state and federal courts of Delaware, United States of America.

Dispute Resolution and Agreement to Individual Arbitration

Please read this carefully. It affects your rights. Any dispute or claim relating in any way to your use of the Website will be resolved by binding arbitration, rather than court.

YOU AGREE THAT, BY USING THE WEBSITE OR OTHERWISE ACCEPTING THESE TERMS, YOU AND NFAFINDER ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS, REPRESENTATIVE OR COLLECTIVE PROCEEDING.

THESE TERMS DO NOT ALLOW FOR CLASS ARBITRATIONS EVEN IF THE PROCEDURES OR RULES OF THE AAA WOULD. RATHER, YOU AND NFAFINDER ARE ONLY ENTITLED TO PURSUE ARBITRATION ON AN INDIVIDUAL, BILATERAL BASIS. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the applicable AAA rules then in effect (the “AAA Rules”), except as modified herein. (The AAA Rules are available at www.adr.org/arb_med or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act (9 U.S.C. 1, et seq.) will govern the interpretation and enforcement of these Terms.

The place of arbitration will be New York, New York. The arbitration will be conducted by a single arbitrator chosen by you and NFAfinder or, if you and NFAfinder do not agree on the arbitrator, an arbitrator selected in accordance with the AAA Rules. The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the agreement is void, voidable, or otherwise invalid. Subject to the terms and conditions of these Terms (including the exclusions, limitations and disclaimers set forth herein), the arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. Any award of the arbitrator(s) will be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction.

You and NFAfinder shall bear equally all fees and costs of arbitration, including, without limitation, AAA fees and arbitrator fees. Each party shall be responsible for its own attorneys’ fees and expenses.

If any provision of these Terms is found unenforceable, the unenforceable provision will be severed, and the remaining provisions will be enforced.

Waiver and Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full effect. If you or others violate these Terms and NFAfinder takes no immediate action, this in no way limits or waives Our rights, such as Our right to take action in the future or in similar situations.

Entire Agreement

These Terms and the Privacy Policy constitute the sole and entire agreement between you and NFAfinder regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
